A slightly more cheem answer is that the distance is 2.4 because it's used to test Aerobic fitness. Aerobic fitness is where your body needs lots of oxygen for longer periods of exertion e.g. for long runs etc... Anaerobic fitness is where you need less oxygen but go for a short period e.g. short sprints (notice you still breathe normally after shuttle run?).
The minimum amount of time it takes for a typical human being to go from Anaerobic to Aerobic exertion is 8 minutes. 2.4 km was chosen since even the fastest runner usually takes around 9 minutes to complete that distance, safely over the 8 minute barrier.
