I think the difference would lie in the moral values of the people in the Ninja or samurai class.
A samurai must always adhere to a code of conduct which extol the values of loyalty, integrity and fairness. A ninja does not have such code to follow. So basically, a ninja can go round backstabbing people if he needs to. A samurai cant do that.
I would rather be a samurai for obvious reasons. -

When Samurai fail his own mission, he cut his stomach. When cutting his own stomach, if he feels pain, the samurai beside him will kill him immdietaly.
